Terms of Service

Version 1.0 — draft of 17 September 2026. Effective on the first public paid release.

These terms are a contract between you and 8789916 Canada Inc. ("we", "us"), the company that publishes PenguinSlide. Read them before you start a trial or buy a subscription. If you do not accept them, do not install or use PenguinSlide.

1. Accepting these terms

You accept these terms when you do any of the following:

- start the 14-day free trial, - sign in with your email address, - purchase or renew a subscription, or - continue using PenguinSlide after we publish a changed version of these terms under section 17.

If you accept on behalf of a company or other organisation, you confirm you are authorised to bind it, and "you" means that organisation.

2. What PenguinSlide is

PenguinSlide is a desktop application for creating, reviewing and exporting branded documents. Your documents are stored as files on your own computer, in a workspace folder you choose. We do not host your documents and we cannot read them.

PenguinSlide generates document content by sending your instructions and the relevant document material to an artificial-intelligence provider that you choose and connect. Generation does not happen on your computer. Section 10 governs this.

3. Licence

While your trial or subscription is active, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use PenguinSlide:

- for your own work or your organisation's internal business purposes, - on the number of devices shown on your account page (currently two), and - in object-code form only.

The licence is granted, not sold. We and our licensors keep all intellectual property rights in PenguinSlide.

4. What you may not do

You may not:

- circumvent, disable or interfere with the trial, licence or device-activation mechanisms, or use PenguinSlide beyond the access you have actually been granted; - share, resell, rent, sublicense or distribute PenguinSlide or your account credentials; - reverse engineer, decompile or disassemble PenguinSlide, except to the extent this restriction is void under applicable law; - remove or obscure proprietary notices; or - use PenguinSlide to build a competing product, or to violate any law or any third party's rights.

Local licence enforcement in the application is a technical measure, not the limit of your obligations. Defeating it is a breach of this agreement whether or not it succeeds.

5. The free trial

The trial lasts 14 days. It requires no email address, no payment card and no hardware identifier. One trial per person or organisation. We may end or refuse a trial we reasonably believe is being used abusively, including repeated trials on the same computer or by the same person.

The trial gives you the paid features for its term. When it ends, section 8 applies.

6. Subscription, price and renewal

PenguinSlide is sold as an annual subscription at CA$14.99 per year, plus any applicable taxes. The exact price, currency, renewal date and taxes are shown before you pay, and on your account page afterwards.

The subscription renews automatically each year at the then-current price for your plan, charged to your payment method on file, until you cancel. We will send a renewal reminder before each renewal, including the amount and the date.

The price and rights of a year you have already paid for do not change during that year. A price change applies only to new purchases or to a future renewal, after advance notice to you and after any consent that applicable law requires. If you do not accept a new renewal price, cancel before the renewal date.

Payments are processed by Stripe. We do not receive or store your card number.

7. Cancellation and refunds

You can cancel at any time from your account page. Cancellation stops the next renewal; it does not end the period you have already paid for. You keep access until the end of that period.

30-day refund. If you are not satisfied, write to us within 30 days of a purchase or a renewal charge and we will refund that charge in full. Refunds are returned to the original payment method.

If you are a consumer in the European Union or the United Kingdom, you also have a statutory right to withdraw from a distance contract within 14 days. Our 30-day policy is offered in addition to that right and does not replace it. Nothing in this section limits any non-waivable statutory right you have, including under Canadian provincial consumer-protection legislation.

We do not refund charges from your AI provider. Those are billed by them, not by us.

8. What happens when access ends

If your trial or subscription ends, expires or is cancelled:

- your files are not deleted, changed or locked. They stay on your computer, in your own folder, in their existing formats; - you can still open and read existing documents and export them to PDF; - creating new documents and editing existing ones is disabled, in the application and through its MCP interface; - work already in progress at the moment access lapses is allowed to finish. We do not interrupt an active save.

If the licensing service cannot be reached, PenguinSlide keeps working on a cached licence for a bounded offline period before access is suspended. A network failure on our side does not take away access you have already paid for.

9. Your content

Your documents, brand materials and prompts are yours. We claim no ownership of them and acquire no licence to them. Because they never reach our servers, you are responsible for backing them up and for their security on your own computer.

You are responsible for having the rights to any material you put into PenguinSlide, including fonts, logos, images and third-party content in your brand kits.

10. AI providers, keys and generated output

PenguinSlide does not include AI capacity. You connect your own account with a supported provider — currently Anthropic or OpenAI — or use a locally installed Claude Code, and you pay that provider directly.

By using generation you understand and accept that:

- your document content is transmitted to the provider you selected. The application shows the destination before it sends. "Local-first" describes where your files are stored, not where generation happens; - the provider's own terms and privacy policy govern what it does with that content, including whether it retains or trains on it. We are not a party to that relationship and cannot control it; - your API key is held in your operating system's protected credential store on your own computer, and is saved there only after you explicitly consent. We never receive it; - you must comply with your provider's terms and usage policies.

Generated output is not guaranteed. AI models produce text that can be wrong, incomplete, outdated or unsuitable. You are solely responsible for reviewing, verifying and approving any document before you rely on it, send it to a client or use it in a transaction. PenguinSlide is a drafting tool, not a source of legal, financial, medical or professional advice.

Output produced for you is yours as between you and us, to the extent the law and your provider's terms permit. Similar or identical output may be generated for other users, and we make no claim of exclusivity in it.

11. Acceptable use

You may not use PenguinSlide to create or distribute material that is unlawful, fraudulent, defamatory, or that infringes someone's rights; to impersonate another person or organisation; or to generate content prohibited by your AI provider's usage policy.

12. Updates and supported versions

PenguinSlide checks for updates and can download and install them. Update packages are code-signed and verified before installation. You can defer an update; we may require a current version for continued access to the licensing service or to paid features when an older version is insecure or incompatible.

We may change, add or remove features. If we remove a feature that was material to your purchase, your remedy is the refund in section 7 or a pro-rated refund of the unused portion of your term, at our option.

13. Third-party services

PenguinSlide relies on services operated by others: Stripe for payments, your chosen AI provider for generation, GitHub for distributing installers and updates, and an email provider for sign-in codes. Their availability and terms are outside our control. Third-party software included in PenguinSlide is listed in [THIRD-PARTY-NOTICES.md](THIRD-PARTY-NOTICES.md).

14. Disclaimer of warranties

Except for the warranties that cannot be excluded by law, PenguinSlide is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, quality and non-infringement. We do not warrant that PenguinSlide will be uninterrupted or error-free, that defects will be corrected, or that any document it produces will be accurate or fit for your purpose.

If you are a consumer, you may have statutory rights that cannot be excluded. Nothing here limits them. In Québec, nothing in this agreement excludes or limits a warranty or right granted by the *Consumer Protection Act* or the *Civil Code of Québec* where those apply to you.

15. Limitation of liability

To the maximum extent permitted by law:

- neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill or lost or corrupted data, however caused; - our total aggregate liability arising out of or relating to PenguinSlide and this agreement is limited to the amounts you actually paid us for PenguinSlide in the 12 months immediately before the event giving rise to the claim.

These limits apply to every theory of liability and survive termination. They do not apply to liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.

Given the price of this product, these limits are a fundamental basis of the bargain between us. Without them, we would not offer PenguinSlide at this price.

16. Suspension and termination

You may stop using PenguinSlide at any time; section 7 governs refunds. We may suspend or terminate your access if you materially breach these terms, if we are required to by law, or if your payment fails and is not cured within the grace period shown on your account page. Where the breach is curable and the circumstances allow, we will give you notice and a chance to fix it first.

On termination, sections 9, 10, 14, 15, 17 and 18 survive. Termination never authorises us to delete or alter files on your computer.

17. Changes to these terms

We may change these terms. For changes that materially affect your rights, we will give you notice in the application or by email at least 30 days before they take effect, and they will apply from your next renewal. If you do not accept a change, cancel before it takes effect; you keep access, on the prior terms, through the end of your paid period.

18. Governing law and disputes

This agreement is governed by the laws of the Province of [PROVINCE] and the laws of Canada applicable in it, without regard to conflict-of-laws rules. The courts of [PROVINCE] have exclusive jurisdiction, except that a consumer may bring proceedings in the courts of their own place of residence where the law of that place gives them that right, and that either party may seek injunctive relief in any court of competent jurisdiction.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

19. General

These terms, together with the [Privacy Policy](PRIVACY.md), are the entire agreement between us about PenguinSlide, and replace any earlier understanding. If a provision is unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement; we may assign it to a successor in connection with a merger, acquisition or sale of assets, on notice to you.

Any perpetual licence we have previously granted for a specific version of any product keeps its own terms, and nothing here revokes it.
